1. Acceptance of Terms
Welcome to Globalyst Group. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Globalyst Group ("we," "our," or "us") governing your access to and use of all Globalyst Group services, including but not limited to Venture Compass, Venture Talent, Seed to Steward, and any future service brands under the Globalyst Group umbrella.
By accessing or using any of our services, creating an account, or clicking "I agree" or similar buttons, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our websites or services. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
2. Eligibility and Account Registration
2.1 Eligibility
Our services are intended for working-age adults who are legally capable of entering into binding contracts. By using our services, you represent and warrant that:
You are at least 18 years of age
You have the legal capacity to enter into these Terms
You will provide accurate, current, and complete information during registration
You will maintain and promptly update your account information to keep it accurate and complete
2.2 Account Creation
To access certain features of our services, you must create an account. You may register using:
An email address and password
Social media authentication (such as Google, LinkedIn, or other supported platforms)
2.3 Account Security
You are responsible for:
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
We are not liable for any loss or damage arising from your failure to protect your account credentials.
2.4 Multiple Accounts
While you may create multiple accounts, there is no advantage to doing so, and each account must comply with these Terms. We reserve the right to merge or terminate duplicate accounts at our discretion.
3. Services Description
3.1 Globalyst Group Services
Globalyst Group provides various services through its brands, including:
Venture Compass: A stakeholder coordination platform designed to facilitate communication and collaboration among business stakeholders
Venture Talent: A talent matching and hiring service connecting qualified professionals with businesses seeking to fill positions
Additional services may be added as Globalyst Group acquires or launches new businesses
3.2 Service Availability
We strive to maintain a server uptime of 95% or greater. However, our services may be temporarily unavailable due to:
Scheduled maintenance
Technical difficulties
Circumstances beyond our control
Security concerns or system upgrades
Although we strive for the greatest levels of service and uptime, we do not guarantee uninterrupted access to our services and are not liable for any downtime or service interruptions.
4. Subscription Plans and Payments
4.1 Free and Paid Services
We offer various service tiers, including:
Free services with limited functionality
Paid subscription services with enhanced features
Specific features, limitations, and pricing are detailed on our websites and service platforms.
4.2 Subscription Terms
Paid subscriptions are available on:
Monthly billing cycles
Annual billing cycles (typically offered at a discounted rate)
Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date.
4.3 Payment Processing
All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you:
Authorize us to charge your payment method for all fees incurred
Represent that you are authorized to use the payment method provided
Agree to pay all applicable fees, including taxes
4.4 Price Changes
We reserve the right to modify subscription pricing at any time. Price changes will:
Be communicated to you at least 30 days in advance
Take effect at your next billing cycle after the notice period
Give you the opportunity to cancel your subscription before the new pricing takes effect
4.5 Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting customer support.
Cancellation Terms:
If you cancel during a billing period, you will retain access to paid features until the end of that billing period
No refunds will be provided for the current billing period in which cancellation occurs
You will be charged for the full current billing period regardless of when during that period you cancel
Upon the end of the current billing period, no further charges will be made and your account will revert to free tier status (if available) or be deactivated
No refunds are provided for partial months or unused portions of subscription periods, except where required by law.
5. User Content and Intellectual Property
5.1 User Content Ownership
You retain full ownership of all content you upload, submit, or transmit through our services ("User Content"), including but not limited to:
Resumes and professional profiles
Documents and files
Communications and messages
Any other content you create or provide
5.2 License Grant
By uploading User Content, you grant Globalyst Group a limited, non-exclusive, royalty-free license to:
Store, display, and transmit your User Content as necessary to provide our services
Use your User Content for the specific purposes of the service (for example, presenting your resume to potential employers through Venture Talent)
Process and analyze User Content to improve our services and user experience
This license terminates when you delete your User Content or close your account, except where retention is required by law or for legitimate business purposes.
5.3 User Content Standards
You represent and warrant that your User Content:
Is accurate and truthful
Does not violate any third-party rights, including intellectual property, privacy, or publicity rights
Does not contain malicious code, viruses, or harmful software
Complies with all applicable laws and regulations
Does not contain discriminatory, harassing, abusive, or illegal content
5.4 Content Removal
You may request removal of your User Content at any time by:
Using the deletion features within your account
Contacting us at contact@globalystgroup.com
We will process content removal requests within 14 days, except where retention is required by law.
5.5 Globalyst Group Intellectual Property
All Globalyst Group services, including our websites, platforms, software, logos, trademarks, and content (excluding User Content), are owned by Globalyst Group or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not:
Copy, modify, distribute, or create derivative works from our services
Reverse engineer, decompile, or disassemble our software or services
Remove or alter any copyright, trademark, or other proprietary notices
Use our trademarks or branding without our prior written consent
6. Prohibited Uses
You agree not to use our services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:
6.1 Abusive or Harmful Behavior
Harassment, bullying, or threatening other users
Discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
Posting or transmitting abusive, offensive, or hateful content
Engaging in any behavior that creates an unsafe or hostile environment
6.2 Fraudulent or Deceptive Activities
Providing false or misleading information
Impersonating any person or entity
Creating fake accounts or profiles
Engaging in fraudulent payment activities
6.3 System Abuse
Attempting to gain unauthorized access to our systems or other users' accounts
Distributing malware, viruses, or other harmful code
Interfering with or disrupting the operation of our services
Using automated systems (bots, scrapers) without our express permission
Overloading our systems or attempting denial-of-service attacks
6.4 Intellectual Property Violations
Uploading or sharing content that infringes on others' copyrights, trademarks, or other intellectual property rights
Using our services to distribute pirated or unauthorized content
6.5 Commercial Misuse
Using our services for unauthorized commercial purposes
Reselling or redistributing our services without authorization
Harvesting user data for commercial purposes
7. No Guarantee of Outcomes
7.1 Service Limitations
While we strive to provide high-quality services, we do not guarantee any specific outcomes, including but not limited to:
Job placement or employment success through Venture Talent
Specific business results through Venture Compass
Any particular financial, professional, or personal results from using our services
7.2 Our Commitment
We are committed to providing the greatest chance of success for our users by:
Offering well-designed, user-friendly platforms and services
Connecting users with relevant opportunities and resources
Implementing best practices in our operations
Continuously improving our services based on user feedback and industry developments
However, success depends on many factors beyond our control, including user effort, market conditions, and external circumstances.
8. Disclaimers and Limitation of Liability
8.1 Service Provided "As Is"
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
IMPLIED WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
UNINTERRUPTED OR ERROR-FREE OPERATION
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOBALYST GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
SERVICE INTERRUPTIONS OR DATA LOSS
ACTIONS OF OTHER USERS OR THIRD PARTIES
ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE OUR SERVICES
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the limitation of certain warranties or liability, so these limitations may not apply to you to the extent prohibited by law.
8.3 Third-Party Services
Our services may integrate with or link to third-party services (such as Stripe for payments or social media platforms for authentication). We are not responsible for:
The availability, accuracy, or content of third-party services
The privacy practices or terms of third-party services
Any damages or losses arising from your use of third-party services
Your use of third-party services is subject to their respective terms and conditions.
9. Indemnification
You agree to indemnify, defend, and hold harmless Globalyst Group, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:
Your violation of these Terms
Your violation of any law or regulation
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
Your User Content
Your use or misuse of our services
Your interactions with other users
10. Account Termination
10.1 Termination by You
You may terminate your account at any time by:
Using the account deletion feature in your settings
Contacting us at contact@globalystgroup.com
Upon termination, your access to paid features will continue until the end of your current billing period.
10.2 Termination by Globalyst Group
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if:
You violate these Terms
You engage in abusive, intolerant, discriminatory, or harassing behavior
You engage in fraudulent or illegal activities
You pose a security risk to our services or other users
We are required to do so by law
We discontinue our services
10.3 Effects of Termination
Upon account termination:
Your right to access and use our services will immediately cease
Your User Content will be deleted within 14 days, except where retention is required by law or for legitimate business purposes
You will remain liable for any outstanding fees or obligations
Sections of these Terms that by their nature should survive termination will remain in effect
11. Dispute Resolution
11.1 Informal Resolution
If you have a dispute with Globalyst Group, we encourage you to first contact us at contact@globalystgroup.com to attempt an informal resolution. We are committed to working with you in good faith to resolve disputes amicably.
11.2 Binding Arbitration
If we cannot resolve a dispute informally within 60 days, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved through binding arbitration rather than in court, except that:
Either party may seek injunctive or equitable relief in court for intellectual property rights violations or confidentiality breaches
Either party may bring claims in small claims court if they qualify
The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Santa Clara County, California, or another mutually agreed location.
Each party shall bear its own costs and attorneys' fees, unless the arbitrator awards costs and fees to the prevailing party as permitted by law.
11.3 Class Action Waiver
YOU AND GLOBALYST GROUP AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both you and Globalyst Group agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not preside over any form of consolidated, representative, or class proceeding.
11.4 Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
If arbitration does not apply or is found unenforceable, any legal action or proceeding arising out of or relating to these Terms or our services shall be brought exclusively in the state or federal courts located in Santa Clara County, California. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms specific to particular services, constitute the entire agreement between you and Globalyst Group regarding your use of our services and supersede all prior agreements and understandings.
12.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Globalyst Group.
12.4 Assignment
You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign these Terms or our rights and obligations under these Terms to any third party without your consent, including in connection with a merger, acquisition, or sale of assets.
12.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
12.6 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Globalyst Group. You have no authority to bind Globalyst Group or create obligations on our behalf.
12.7 Notices
We may provide notices to you via email, through our services, or by posting notices on our websites. Notices to Globalyst Group should be sent to:

12.8 Survival
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
Update the "Last Updated" date at the top of these Terms
Notify you via email or through a prominent notice on our services
Provide you with an opportunity to review the updated Terms
If you do not agree to the modified Terms, you must stop using our services and may terminate your account. Your continued use of our services after the effective date of modified Terms constitutes your acceptance of the changes.

BY USING GLOBALYST GROUP SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
Globalyst Group and its service brands (including Venture Compass, Venture Talent, Seed to Steward, and future acquisitions) are committed to providing valuable services while maintaining fair and transparent terms for all users.
